Terms of Service

1. Acceptance of Terms

By accessing or using the services of Animal Kingdom Accounting ("AKA," "we," "our," or "us"), including our website, client portal, and professional accounting services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use our services.

These Terms supplement and incorporate any separate engagement letter or service agreement between you and AKA.

2. Description of Services

Animal Kingdom Accounting provides accounting, bookkeeping, tax preparation, and financial advisory services primarily to nonprofit organizations in the animal welfare sector. Our services may include:

• Monthly bookkeeping and financial statement preparation
• Accounts payable and receivable management
• Bank and credit card reconciliation
• Grant tracking and fund accounting
• Form 990 and tax return preparation
• Audit preparation and support
• Financial reporting and analysis
• CFO advisory services

The specific services provided to you will be detailed in your engagement letter or service agreement.

3. Client Responsibilities

To enable us to provide our services effectively, you agree to:

• Provide accurate, complete, and timely information and documentation
• Respond promptly to our requests for information or clarification
• Maintain accurate records of all financial transactions
• Notify us immediately of any changes to your organization that may affect our services
• Review all work product and notify us of any errors or concerns within a reasonable timeframe
• Comply with all applicable laws and regulations
• Maintain the security of your portal login credentials

You acknowledge that the quality and timeliness of our services depend on your cooperation and the accuracy of information you provide.

4. Fees and Payment

Fee Structure

Our fees are outlined in your engagement letter and may be based on fixed monthly retainer, hourly rates for project-based work, or fixed fees for specific deliverables.

Payment Terms

Invoices are issued monthly and are due within 30 days of the invoice date. We accept payment via check, ACH transfer, or credit card. A service fee of 3% applies to credit card payments.

Late Payment

Accounts more than 30 days past due may be subject to a late fee of 1.5% per month. We reserve the right to suspend services for accounts more than 60 days past due.

5. Confidentiality

We are committed to maintaining the confidentiality of your information:

• We will not disclose your confidential information to third parties without your consent, except as required by law or professional standards
• We maintain physical, electronic, and procedural safeguards to protect your information
• Our team members are bound by confidentiality obligations
• We comply with all applicable privacy laws and professional ethical standards

6. Intellectual Property

Your Materials

You retain ownership of all documents, data, and information you provide to us. Upon termination, we will return or make available your original documents upon request.

Our Work Product

Upon payment in full, you own the specific deliverables we create for you. However, we retain ownership of our methodologies, processes, templates, and proprietary tools.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• We shall not be liable for damages arising from your failure to provide accurate information
• We shall not be liable for IRS penalties resulting from late filing due to client delays

8. Indemnification

You agree to indemnify and hold harmless Animal Kingdom Accounting, its principals, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your provision of inaccurate or incomplete information
• Your violation of any law or regulation
• Your infringement of any third party's rights

9. Termination

Termination by Either Party

Either party may terminate our engagement with 30 days' written notice. Upon termination, you are responsible for fees for services rendered through the termination date.

Termination for Cause

We may terminate immediately if you fail to pay invoices after notice, provide false information, or continuing would violate professional ethics or law.

10. Dispute Resolution

Any dispute arising from these Terms shall be resolved through informal resolution first, then non-binding mediation, and finally binding arbitration in accordance with the American Arbitration Association rules.

11. General Provisions

These Terms, together with your engagement letter and our Privacy Policy, constitute the entire agreement between you and AKA. If any provision is found unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign your rights under these Terms without our written consent. We may modify these Terms with 30 days' notice.
